1. Who you are contracting with

Padel Ledger (the "Service") is operated by AuraFlow AI Studio LTD("we", "us", "our"). These Terms & Conditions ("Terms") form a binding agreement between you and AuraFlow AI Studio LTD when you access or use the Service.

2. Acceptance

By creating an account, signing in, or continuing to use the Service you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organisation you confirm you have authority to bind that organisation. You must be of legal age to form a binding contract in your jurisdiction.

3. The Service

Padel Ledger is a subscription platform for logging padel matches, tracking player statistics, running groups, tournaments and seasons, and interacting with other players. We may change, add or remove features from time to time.

4. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date. Notify us promptly of any unauthorised use of your account.

5. Acceptable use

You must not misuse the Service. In particular, you agree not to:

• use the Service for any unlawful, fraudulent or deceptive purpose;
• send spam, harass other users, or post content that infringes intellectual property, is defamatory, obscene or discriminatory;
• interfere with the security or integrity of the Service, including probing, scanning, scraping, introducing malware, or attempting to gain unauthorised access;
• reverse engineer, decompile, or attempt to derive source code from the Service, except where such restriction is prohibited by law;
• resell, sublicense, or redistribute the Service or circumvent any technical or usage limits.

6. Intellectual property

The Service, including its software, design, branding, documentation and all associated intellectual property, is owned by AuraFlow AI Studio LTD or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your subscription plan and these Terms. All rights not expressly granted are reserved.

You retain ownership of the content you submit (match data, comments, images). You grant us a worldwide, royalty-free licence to host, store and process that content solely to provide and improve the Service.

7. Payments, subscriptions and refunds

Paid subscriptions are billed on a recurring basis (monthly unless stated otherwise) and renew automatically until cancelled. You can cancel from your account at any time; cancellation takes effect at the end of the current billing period.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by the Paddle Buyer Terms. See our Refund Policy for our money-back guarantee.

8. Service availability

We work to keep the Service available and performing well but do not guarantee that it will be uninterrupted, timely, secure, or error-free. The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. Suspension and termination

We may suspend or terminate your access to the Service, in whole or in part, if you materially breach these Terms, fail to pay amounts due, create a security or fraud risk, or repeatedly or seriously violate our policies. You may stop using the Service at any time by cancelling your subscription and closing your account. On termination your right to use the Service ends immediately and we may delete your data after a reasonable retention period.

10. Liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the amounts you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential or exemplary damages, including loss of profits, revenue, data or goodwill. Nothing in these Terms limits liability that cannot be limited under applicable law, including for fraud, death or personal injury caused by negligence.

11. Indemnity

You agree to indemnify and hold AuraFlow AI Studio LTD harmless from claims arising out of content you submit, your use of the Service in violation of these Terms, or your infringement of any third-party right.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, save where mandatory local law provides otherwise.
